By accessing or using UPshop ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.
2. Description of Service
UPshop is a WhatsApp-based commerce platform that enables small businesses to create digital catalogs, receive orders, and manage their online presence. We provide tools for product management, order processing, and business analytics.
3. Account Registration
To use UPshop, you must:
- Be at least 18 years old
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. Acceptable Use
You agree not to use the Platform to:
- Sell illegal, counterfeit, or prohibited products
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Transmit malware, viruses, or harmful code
- Engage in fraudulent or deceptive practices
- Harass, abuse, or harm other users
- Attempt to gain unauthorized access to our systems
5. Payment and Subscriptions
UPshop offers both free and paid subscription plans. By subscribing to a paid plan, you agree to pay all fees associated with your chosen plan. Fees are non-refundable except as required by law. We reserve the right to change our pricing with reasonable notice.
6. Product Listings and Content
You are responsible for all content you upload to the Platform, including product descriptions, images, and pricing. You represent that you have all necessary rights to use such content and that it does not violate any third-party rights.
7. Orders and Transactions
UPshop facilitates order placement between you and your customers. You are solely responsible for fulfilling orders, handling customer service, processing refunds, and resolving disputes. We are not a party to transactions between you and your customers.
8. Intellectual Property
The Platform and its original content, features, and functionality are owned by Techvilla Technologies and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of our Platform.
9. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind. We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
10. Limitation of Liability
To the maximum extent permitted by law, Techvilla Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Platform, even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless Techvilla Technologies, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of these Terms.
12. Termination
We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform will immediately cease. All provisions that should survive termination shall survive.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Enugu State, Nigeria.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting a notice on the Platform or sending you an email. Your continued use of the Platform after changes constitute acceptance of the modified Terms.
